PARTNERSHIP AGREEMENT

and

1. Purpose​

This agreement establishes the terms and conditions for a business partnership between Provider and Partner for the distribution and support of NoCode-X services.

2. Mutual Responsibilities​

2.1 The Provider agrees to:​

  • Provide technical support and maintenance of the NoCode-X platform
  • Ensure platform availability and performance according to industry standards
  • Deliver timely product updates and improvements
  • Process commission payments within first 2 weeks after quarter end
  • Provide necessary training materials and documentation
  • Maintain transparent communication about platform changes
  • Support Partner's sales efforts with technical expertise when required

2.2 The Partner agrees to:​

  • Provide primary support for the use and operations of NoCode-X to end customers
  • Maintain professional standards in customer engagement and service delivery
  • Collaborate with Provider on the first use case implementation
  • Handle transferred leads in their domain or regional area professionally
  • Keep Provider informed about market feedback and customer needs
  • Maintain confidentiality of Provider's proprietary information

3. Lead Management and Territory​

3.1 Provider commits to:

  • Transfer leads to Partner in their domain expertise area
  • Direct regional/geographical leads to appropriate Partners
  • Honor customer preferences for near shore partnership
  • Maintain transparent lead distribution process

3.2 Partner commits to:

  • Respond to leads within agreed timeframes
  • Provide regular updates on lead status
  • Maintain professional standards in lead handling
  • Respect territorial agreements

4. Commission Structure​

4.1 First Year Sales Commission:

  • 50% commission for 50+ licenses per year
  • 40% commission for 25-49 licenses per year
  • 25% commission for less than 25 licenses per year

4.2 Renewal Commission:

  • 20% commission for partners with 50+ licenses in previous year
  • 15% commission for partners with 25-49 licenses in previous year
  • 10% commission for partners with less than 25 licenses in previous year

4.3 Special Provision:

  • 40% commission on first 50 licenses sold (lifetime validity)

4.4 Commission Payment Terms:

  • Payments processed within first 2 weeks after quarter end
  • Detailed commission reports provided with each payment
  • Clear tracking and documentation of all sales

5. Terms and Conditions​

5.2 Both parties explicitly agree not to:

  • Engage in sublicensing
  • Violate fair use policies
  • Infringe on IP ownership rights

6. Non-Exclusivity​

6.1 This agreement is non-exclusive

6.2 Partner may engage with other service providers 6.3 Provider may engage with other partners

7. Termination​

7.1 Either party may terminate this agreement by:

  • Sending written notice via email
  • Clearly stating intent to terminate 7.2 Upon termination:
  • All agreement benefits cease immediately
  • Ongoing commissions will be settled until termination date
  • Both parties will ensure smooth transition for existing customers

8. Communication and Support​

8.1 Both parties commit to:

  • Regular business reviews
  • Open communication channels
  • Timely response to queries and issues
  • Constructive feedback sharing

8.2 Provider encourages open communication for:

  • Feedback
  • Questions
  • Suggestions
  • Business improvement ideas
